Terms of Service

1. Acceptance

By creating an account, generating an API key, or making any request to Cloven Mind (including via MCP, REST, or the SDK), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using Cloven Mind on behalf of an organization, you represent that you have authority to bind that organization to these terms, and references to "you" include that organization.

2. Service description

Cloven Mind is a continuous context layer for AI agents. We ingest data from multiple public and third-party sources, compact it via LLM, and serve the result as citation-backed structured and narrated knowledge through an MCP server, a REST API at /v1/*, and the @cloven/sdk TypeScript package. Knowledge is organized into packs (vertical domains). The crypto pack is available at launch; additional packs (markets, AI) ship in later phases.

Cloven Mind provides informational context. It is not a financial advisor, legal advisor, or decision-making system. See §9 (Disclaimer of warranties) and §6 (Data sources) for scope of accuracy guarantees.

3. Account and API keys

Access to the API requires an API key (format: cv_live_…). Your responsibilities:

• Keep your API keys secret. Do not commit them to public repositories, embed them in client-side code, or share them with unauthorized parties.
• You are responsible for all usage and charges incurred on your keys, regardless of whether that usage was authorized by you.
• Revoke compromised keys immediately via the console at /console. Report suspected compromise to ops@cloven.cloud.
• Each key is scoped to a tier (free, hobby, pro, team, enterprise). You may not share keys across organizations to pool quotas.
• Anonymous (x402) calls do not require an account but are still subject to these terms.

4. Acceptable use

The following uses are prohibited:

• Rebuilding a competing continuous context service by systematically harvesting Cloven Mind output. Using our briefed data to train a model that replicates our product's core function is explicitly prohibited.
• Scraping, re-selling, or sublicensing the underlying third-party source data we proxy (CoinGecko, DefiLlama, GeckoTerminal, DexScreener, CryptoCompare, Fear & Greed Index, GDELT, Reddit) in a manner that violates those providers' terms.
• Using the service for any illegal activity, including market manipulation, securities fraud, or sanctions evasion.
• Attempting to access, extract, or infer another tenant's data, API key, or usage metrics.
• Circumventing rate limits by rotating multiple keys to exceed documented per-key quotas.
• Automated credential stuffing, brute-force attacks on the API, or any form of denial-of-service.

The following uses are explicitly permitted:

• Building products — including commercial, paid products — on top of Cloven Mind outputs.
• Displaying Cloven Mind briefings or structured data in your own UI, provided you attribute the source where material.
• Caching API responses for legitimate UX latency improvement, provided cached data is not distributed independently or sold.
• Using the x402 pay-per-call path without an account for autonomous agent workflows.

Cloven Mind proxies and compacts data from public and third-party sources including CoinGecko, DefiLlama, GeckoTerminal, DexScreener, GoPlus Security, CryptoCompare, the Fear & Greed Index, GDELT, and Reddit. We do not own or control these sources.

We make no guarantee of the accuracy, completeness, or fitness for any particular purpose of any specific datum returned by the API. Freshness reflects the source's own update cadence and our ingestion pulse (typically minutes to hours depending on the source). Stale data is labeled as such in the response metadata.

Cloven Mind output is informational only. It is not financial advice, investment advice, legal advice, or any other form of professional advice. You are solely responsible for any decisions — trading, operational, technical, or otherwise — made on the basis of Cloven Mind data. We are not liable for losses or damages arising from reliance on this data.

7. Service availability

We target 99.5% uptime measured monthly. This is a best-effort target, not a contractual SLA, for the free, hobby, and pro tiers. Team-tier customers may negotiate a custom SLA under a separate order form.

We may perform scheduled maintenance with advance notice where practicable. We reserve the right to suspend or terminate service to any user who violates these terms, without prior notice when the violation is severe (e.g., active abuse, legal compulsion).

8. Intellectual property

The Cloven brand, logo, product name, API surface design, and proprietary code are owned by Cloven and its operators. Nothing in these terms grants you a license to the Cloven brand or codebase beyond the right to access the service per these terms.

Data you generate via your agents — prompts, responses, application outputs — belongs to you. We do not claim ownership of your agent's work product.

Traces you opt into Cloven Commons (Phase 3) grant Cloven a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and sublicense those traces in anonymized, aggregated form for the purpose of the Cloven Commons dataset marketplace. You may revoke this license for future captures by disabling the Commons opt-in; previously exported anonymized records cannot be recalled from downstream purchasers.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. DATA PROVIDED BY THE SERVICE IS INFORMATIONAL ONLY AND NOT PROFESSIONAL ADVICE OF ANY KIND.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOVEN AND ITS OPERATORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN ALL CASES, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM; OR (B) USD $100.

11. Indemnity

You agree to indemnify, defend, and hold harmless Cloven and its operators, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the service in violation of these terms; (b) your violation of any third-party right, including any intellectual property or privacy right; or (c) any claim that your use of the service caused damage to a third party.

12. Termination

Either party may terminate these terms at any time. You may terminate by deleting your account and all API keys via the console. We may terminate your access for violation of these terms, non-payment, or for any reason with 30 days notice (or immediately for severe violations).

Upon termination, your access to the service ceases. Your data will be handled per the retention schedule in our Privacy Policy §7. Sections 8–11 survive termination.

13. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these terms shall be resolved by binding arbitration in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction for intellectual property violations. 14. Changes to these terms

We may update these terms from time to time. Material changes will be communicated to account holders via email at least 14 days before taking effect. Continued use of the service after the effective date constitutes acceptance of the revised terms. The current version is always available at cloven.cloud/terms.
